The Customer shall safeguard sole ownership or co-ownership thus created on behalf of HAUPA. 8.7 Payment of cost allocations for tools do not entitle the Customer to such tools; they remain the sole property of HAUPA. 9 Prohibition of assignment No claims of the Customer against HAUPA arising from the contractual relationship may be assigned. 10 Product liability 10.1 The Customer may only use the goods as intended and must ensure that such goods are resold only to persons familiar with the product hazards and risks. 10.2 When using the goods as raw materials and component products for its own products, the Customer is likewise obliged to comply with its warning obligation with regard to goods delivered by HAUPA when placing the end product on the market. As between the parties, the Customer shall, upon first request, indemnify and hold HAUPA harmless against the assertion of claims in the event of a breach of this obligation. 11 Miscellaneous/Final provisions 11.1 The place of performance is the location of HAUPA’s registered office. 11.2 The place of jurisdiction for all disputes arising under or in connection with this contract is the location of HAUPA’s registered office. However, HAUPA is also entitled to sue the Customer at the court located at the location of the registered office the Customer with general jurisdiction over the Customer or at the place where the Customer has a branch office. 11.3 The domestic law of the country in which HAUPA has its registered applies exclusively to the exclusion of the UN Convention on Contracts for the International Sale of Goods. 12 Data protection 12.1 In accordance with section 4 of the German Federal Data Protection Act, the Customer agrees that personal data may be processed by the contractor using electronic means. It is aware that data will not be transferred to third parties outside the HAUPA Group and that it may refuse or withdraw consent with effect for the future.
