10. Notices of defects These shall be governed by § 377 of the German Commercial Code (HGB) with regard to the quality, weight or dimensions of the goods. They must be brought to our attention in writing within 8 days after delivery of the goods in writing. A notice of defects is not possible for goods that have already been processed. The burden of proof lies with the purchaser. In the event of a justified complaint, we shall undertake to supply a replacement free of charge or to issue a credit note. We reject any further claims for damages, in particular from third parties. Goods justifiably objected to are to be returned to us in the condition in which they were delivered. The customer cannot derive any rights with regard to the remaining partial quantity due to defective partial delivery. For articles, which are marked with import, we do not take over guarantee. 11. Returns Returns are accepted only after prior consultation or sufficiently franked. 12. Reservation of proprietary rights The delivered goods remain our property until full payment of the purchase price and all claims arising from the entire business relationship, of whatever kind. The retention of title shall also be valid if a balance has been recognized after the account has been closed. Ownership shall not pass until all bills of exchange and cheques given in payment including ancillary costs have been settled. The customer is entitled to sell the delivered goods in the ordinary course of business. He is prohibited from pledging or transferring the goods as security. In the event that the Purchaser resells the goods on credit, he shall also be obliged to retain title. Accordingly, we shall have the rights to counter-performance set out in § 46 of the German Bankruptcy Code if the customer ceases payment before the goods delivered have been paid for. 13. Terms of payment Our invoices are payable within 14 days after date of invoice. Payment shall be made irrespective of the receipt of goods. The right of complaint is not affected by this. If the payment deadline is exceeded, we will charge interest on arrears for the period from the due date to the date of receipt of payment, at least 3% above the respective discount rate. 2 months after the due date of the invoice, the outstanding amounts will automatically be given for collection. 14. Bills of exchange and checks Bills of exchange and checks are not considered as payment; we must reserve the right to accept them. In addition, we assume no liability for timely presentation and submission of the protest. Collection charges, exchange losses, etc. shall be borne by the sender. 15. Insolvency In the case of delivery to customers about whose solvency we are not sufficiently informed, we reserve the right to demand advance payments or sufficient securities or to withdraw from the contract, even if the conclusion of the purchase is in order in all parts. The same applies if the available information does not appear sufficient to us. Open credit can only be granted as long as it appears to us to be secured. 16. Place of performance Place of performance for both parties is Steinbach-Hallenberg / Germany. 17. Place of jurisdiction The place of jurisdiction for both parties shall be, at our option, the Meiningen Local Court. In the event of delivery abroad, the aforementioned German place of jurisdiction and thus the application of German law shall be is also expressly agreed. 18. Individual provisions An individual provision may be invalid without calling into question the remaining provisions if it would have been the Purchaser in the specific case with regard to the customs and practices applicable in the course of trade. 19. Catalogue The descriptions, dimensions and illustrations given in the catalogue are not binding, colour deviations are possible; errors and misprints excepted. Reprinting or copying, also in extracts, is generally not permitted. The catalogue can be purchased for a nominal fee of 5.00 €; otherwise the catalogue remains our property.
