General Terms and Conditions of Sale and Delivery of M. Westermann & Co. GmbH, Bahnhofstrasse 205, 59759 Arnsberg for Business-to-Business Transactions Section 1 – General; Scope (1) Our General Terms and Conditions of Sale and Delivery (hereinafter referred to as “Terms of Sale”) apply exclusively; we do not acknowledge any conflicting or supplementary terms of buyer or any terms of buyer that deviate from our own Terms of Sale unless we have agreed to the application thereof expressly in writing. Our Terms of Sale apply including in those cases where, knowing of the existence of buyer’s conflicting or supplementary terms or terms that deviate from our own Terms of Sale we do not object to such buyer’s terms and/or unconditionally make a delivery or otherwise perform a service to buyer. (2) All agreements entered into between us and buyer for the purpose of executing any contractual relationship existing between the parties must be laid down in writing. Any individual agreements made with buyer in a particular case shall have priority over the present Terms of Sale in all cases. (3) Our Terms of Sale shall only apply to dealings with enterprises (within the meaning of section 14 of the German Civil Code [BGB]), legal entities under public law or special funds under public law within the meaning of section 310(1) of the BGB. (4) These Terms of Sale shall also govern all and any future contracts made with buyer insofar as such contracts are legal transactions of a related nature. Unless otherwise agreed, our Terms of Sale apply as published, in the form amended from time to time, at the time the purchase order, contract, or other agreement is made, provided that we have informed buyer of the new version of our Terms of Sale not later than at the making of such purchase order, contract, or other agreement. (5) Unless a notification in written and signed form or made by means of a signed declaration is required under these Terms of Sale, a notification may be given in text form [within the meaning of section 126b of the BGB] (including without limitation by e-mail and fax). Any legal requirements of form remain unaffected. Section 2 – Quotation; Acceptance Period; Quotation Documents (1) Our quotations are subject to change without notice. Descriptions and presentations of products in catalogues, on Internet sites, in technical specifications and other documents do not constitute a binding offer in the legal sense. (2) We shall retain title and copyright to any documents made available to buyer in connection with the purchase order or contract, such as illustrations, drawings, calculations and other documents. Documents that are identified as “confidential” may only be disclosed or otherwise made accessible to third parties subject to our prior written consent. (3) Insofar as buyer’ purchase order or contract constitutes an offer within the meaning of section 145 of the BGB, we have a period of two (2) weeks to accept such offer. Section 3 – Prices; Terms of Payment (1) Unless otherwise provided in the order confirmation, our prices at the time of entry into the contract apply “ex works” (not including packaging and transport). If, at buyer’s request, the goods are shipped directly to buyer or to a location designated by buyer other than the place of performance (see Section 5(1) of these Terms of Sale), buyer shall bear the freight and transport costs as well as the cost of any transport insurance taken out upon buyer's request. Buyer shall bear any taxes, fees or other public charges that may be due. (2) Our quotations do not include statutory value-added tax; value-added tax at the statutory rate is shown separately in the invoice. (3) Any discount may be deducted only if a special written agreement has been made. (4) Unless otherwise provided in the order confirmation, the purchase price is due and payable net (without deduction) within thirty (30) days from receipt of the invoice. The legal provisions governing default in payment and the consequences of default shall apply. (5) Buyer is not entitled to set off or retain any amount unless buyer’s counterclaims have been finally determined by a court or are undisputed. Buyer’s rights in case of defects remain unaffected. § 4 Delivery; Delivery Period (1) The delivery period is agreed on an individual basis or is specified by us upon acceptance of the purchase order or contract. In all other cases, the delivery period is approx. two (2) weeks from making of the contract. (2) Insofar as we are unable to meet a delivery period for reasons beyond our control (unavailability of goods and/or services), we shall notify customer thereof without delay, giving details about the expected delivery period. If the goods and/or services are not made available even within the newly defined delivery period, we are entitled to rescind the contract in whole or in part; in such a case, we shall immediately reimburse to buyer any consideration already paid. Non-availability of performance in the above sense shall mean, without being limited to, if our own supplier delays delivery to us, provided that we have entered into a concrete covering transaction and the non-arrival of a delivery is beyond our control or that neither we nor our supplier are responsible for the non-arrival of a delivery, or if we are under no obligation to procure the items in the individual case. (3) Furthermore, compliance with our obligation to deliver is conditional upon buyer’s timely and proper performance of all its obligations. We reserve the defence of non-performance of the contract. If buyer breaches its obligations to co-operate, we are entitled to demand compensation for any damage or loss incurred by us as a result thereof. We reserve the right to assert further claims or rights. (4) If buyer defaults on acceptance or fails to co-operate or if our delivery is delayed for other reasons for which buyer is responsible, we are entitled to demand compensation for any resulting damage or loss suffered by us, including for any extra expenses incurred. We reserve the right to assert further claims and rights. (5) The risk of accidental loss or accidental deterioration in the item sold passes to buyer at the point in time at which buyer defaults on acceptance. (6) If we are in delay in delivery for reasons for which we are responsible, we shall be liable for damages in accordance with Section 7 herein below. Notwithstanding the provisions in Section 7 of these Terms of Sale, buyer is entitled to demand a lump sum compensation for any damage caused to buyer through the delay in the amount of 0.5% of the delivery value (net price) for each complete week of default in delivery, however not more than an aggregate amount equal to 5% of the delivery value (net price) of the delayed goods. We are entitled to prove that no damage, or a damage significantly lower than the above lump sum, has been incurred. Section 5 – Place of Performance; Passage of Risk (1) Unless otherwise specified in the order confirmation, delivery “ex works” is deemed to be agreed; that location is also the place of performance. The risk of accidental loss and accidental deterioration of the goods passes to buyer no later than upon delivery of the goods to buyer. The same consequences arise if the buyer is in default in accepting delivery. (2) If, at buyer’s request, the goods are shipped directly to buyer or to a location designated by buyer other than the place of performance, the risk of accidental loss and/or the risk of accidental deterioration of the goods passes to buyer upon delivery of the item to the forwarding agent, to the carrier, or to any other person or organisation designated to dispatch the goods. This shall apply regardless of whether the goods are shipped from the place of performance and regardless of which party bears the freight charges. Section 6 – Liability for Defects (1) Buyer is entitled to make claims based on defects only if buyer has duly fulfilled its obligation to inspect the delivered goods and to make a complaint in respect of a defect as provided for in sections 377&381 of the German Commercial Code (HGB). If goods are intended for installation or otherwise for further processing, buyer shall in any event inspect the goods not later than before such processing. If a defect is found upon delivery, upon inspection, or at a later point in time, buyer shall notify us of such defect without delay. At all events, obvious defects must be reported in writing within five (5) workdays (i.e. all days other than Saturdays, Sundays and bank holidays) of delivery, and any defects not detectable during inspection must be reported in writing within the same period following detection. If buyer fails to duly inspect the goods and/or to notify us of a defect found, if any, our liability for any such defect not reported or not reported on time and/or in due form is excluded under the law. (2) Insofar as the goods delivered have a defect that existed already at the time of the passing of risk, and provided that a complaint in respect of such defect was made in due time, we shall at our option either remedy the defect or deliver a new item that is free of defects (subsequent performance). The aforegoing is without prejudice to our right to refuse subsequent performance provided that the legal requirements for such refusal have been met. Subsequent performance does not include assembly or disassembly of the item if assembly was not among our obligations originally. In the event of subsequent performance, we shall bear and or reimburse all expenses necessary with respect to such subsequent performance, including without limitation transport, travel, labour and material costs and costs of assembly or disassembly, if applicable, provided that a defect does exist. If no defect exists, we are entitled to recover from buyer the costs incurred by us as a result of the unjustified request for remediation of defect (including without limitation costs of testing and transport); provided, however, the lack of defect was not recognizable to buyer. (3) We are entitled to make the owed subsequent performance conditional on payment of the purchase price by buyer. However, buyer is entitled to withhold a portion of the purchase price that is in a reasonable proportion to the defect. (4) Buyer shall return the goods to which the complaint refers to us for purposes of examination and shall give us reasonable time and opportunity to arrange subsequent performance. In the event of a replacement delivery of non-defective goods, buyer shall return the defective goods in accordance with legal provisions. (5) In urgent cases and/or in order to avoid unreasonably high losses, buyer shall be entitled to rectify defects itself, demanding compensation from us for reasonable expenses thus incurred. Buyer shall inform us thereof immediately and if possible in advance. Buyer does not have the right to rectify defects itself and at our cost, if we would be entitled, under the law, to refuse the corresponding subsequent performance. (6) If subsequent performance fails or if it has not been carried out within an appropriate period of grace set by buyer or if such a period of grace is dispensable under the terms of the law, buyer is entitled, at its option, to either rescind the contract or demand reduction of the purchase price. Minor defects do not result in a right of rescission. (7) Claims arising out of recourse against suppliers are excluded, if the defective goods have been processed by buyer or another contractor, e.g. by integrating the goods in another product. (8) In the event of defects, any claims buyer may assert for damages and/or compensation for wasted expenditures are subject to Section 7 hereof and are otherwise excluded. (9) Claims for defects become time-barred after 12 months of delivery. Section 438 para. 1 nos. 1&2 and para. 3 of the BGB and section 445b are not affected hereby. (10) The above-mentioned limitation periods under the Sale of Goods Act also apply to buyer’s contractual and non-contractual damages claims based on a defect in the goods, unless application of the ordinary statutory limitation period (sections 195&199 of the BGB) would result in a shorter period of limitation in an individual case. Compensation claims under Section 7 paras. 1&3 of these Terms of Sale become time-barred exclusively according to the statutory provisions. Section 7 – Other Liability (1) Our liability – regardless of the legal basis thereof – is governed by the applicable legal provisions, if the buyer asserts claims for damages based on intent or gross negligence, including intent or gross negligence on the part of our legal representatives or vicarious agents. (2) Our liability is governed by the applicable legal provisions in case of a culpable breach of a material contractual obligation committed by us; however, in case of simple negligence our liability for damages shall be limited to the foreseeable, typically occurring damage. A contractual obligation is considered to be material, if the fulfilment thereof is essential for the proper execution of the contract and if buyer has relied upon and indeed was entitled to rely upon the fulfilment of such contractual obligation. (3) Liability for culpable injury to life, bodily injury or injury to health is not affected by the above provisions; this also applies to mandatory liability under the Product Liability Act (Produkthaftungsgesetz), warranties given, and/or fraudulent non-disclosure of a defect. (4) Buyer is entitled to rescind or terminate the contract for breach of duty other than a defect only if we are responsible for such a breach. Buyer's right to terminate the contract without cause (including without limitation pursuant to sections 650&648 of the BGB) is excluded. Save as provided herein the statutory requirements and legal consequences of the right of rescission and termination apply. (5) Any liability for damages beyond the scope of liability provided for in this Section 7 – regardless of the legal nature of the claim asserted – shall be excluded. This applies without limitation to damage claims arising from breach of pre-contractual obligations, or other claims for breach of duty, or with regard to tortious claims for damage to property pursuant to section 823 of the BGB, and also if buyer, instead of claiming damages in lieu of performance, demands reimbursement of expenditure incurred in vain. (6) The limitations on liability according to this Section 7 also apply to breach of duty by persons for whose culpable conduct we are responsible under the terms of the law. (7) Where our liability for damages is excluded or limited, such exclusion or limitation applies also to the personal liability for damages on the part of our employees, legal representatives or agents. Section 8 – Reservation of Title (1) We reserve title to the goods sold until full settlement of all our present and future receivables arising out of the contract for sale and of any ongoing business relationship with buyer (secured claim). (2) In the event of breach of contract by buyer, including without limitation default in payment or non-payment of the purchase price due, we are entitled to rescind the contract in accordance with the legal provisions and to demand return of the goods on the basis of reservation of title. Our request for the return of the goods shall also be deemed to constitute a declaration on rescission of the contract. We are entitled to turn into cash any item of sale that we have taken back; the proceeds of realisation, less appropriate realisation expenses, are offset against buyer’s liabilities. (3) Buyer shall handle the item sold with due care; in particular, buyer shall insure such item, at buyer’s cost, sufficiently against fire, flooding and theft by taking out a reinstatement policy. If necessary, buyer shall carry out all maintenance work and servicing in a timely manner and at buyer’s own expense. (4) Goods that are subject to reservation of title may neither be pledged nor transferred to third parties by way of security until full payment of the secured claims. In the event of seizure or other intervention or attachment by any third party or parties relating to our reserved goods or goods subject to reservation of title, buyer shall inform such third party of our ownership title and shall notify us immediately in writing so that we can enforce our proprietary interest. To the extent such third party is not in a position to reimburse us for reasonable judicial and extra-judicial costs resulting from such action, buyer shall be liable for the loss incurred by us. (5) Buyer is entitled to resell and/or process the purchased goods in the ordinary course of business. (6) Any processing or transformation of the purchased goods or their combination by buyer with other items which are not our property shall always be carried out on our behalf so that we are deemed to be the manufacturer. The reservation of title also extends to resulting products at their full value. If the purchased goods are processed, mixed and/or combined with other items which are not our property, we will acquire joint ownership of the new product in proportion to the value of the purchased goods (total amount of the invoice including VAT) to the value of the other processed, mixed or combined items at the time of such processing, mixing and/or combination. The products resulting from such processing, mixing and/or combination are subject to the same provisions as the goods delivered subject to reservation of title. Buyer shall hold the resulting solely or jointly owned item in custody for us. (7) Buyer hereby assigns to us all claims up to the amount of our final invoice sum (including VAT) which buyer may have against its own customers or third parties from the resale of the purchased goods and/or any product resulting from their processing, mixing and/or combination. The same applies to claims which may arise against a third party as a result of combination of the purchased goods with real property. We hereby accept the above assignment. Buyer’s obligations under paragraph 4 hereof also apply to the claims assigned. (8) Buyer shall remain entitled to collect the assigned claims even after the assignment. This does not affect our own right to collect the claims ourselves. We undertake, however, that we will not collect such claims as long as buyer meets its payment obligations against us, does not default on payment and there is no other deficiency of its capacity, and as long as no petition for the institution of composition or bankruptcy proceedings has been filed against buyer, and we do not assert our reservation of title under paragraph 2 herein above. If any of the above does occur, we are entitled to demand that buyer notifies us of the claims assigned and of the identity of the relevant debtors, that buyer provides us with all details necessary for collection, that buyer hands over the relevant documents and informs the debtors (third parties) of such assignment. In such a case, we are also entitled to revoke buyer’s authority to sell and/or process the goods that are subject to reservation of title. (9) We undertake to release any securities due to us at the buyer’s request to the extent that the realisable value of our securities exceeds the claims to be secured by more than 10%; provided, however, that we are entitled to select the securities to be released. Section 9 – Jurisdiction; Place of Performance (1) If buyer is a merchant, a legal entity under public law, or a public-law special fund, the place of our registered office shall be the exclusive place of jurisdiction for all disputes – including without limitation international disputes – arising directly or indirectly out of the contractual relationship; however, we shall be entitled to sue buyer also at its general place of jurisdiction. (2) The law of the Federal Republic of Germany applies; the Convention on Contracts for the International Sale of Goods is excluded. (3) Unless otherwise provided in the order confirmation, the place of performance is at our place of business. Revised: April 2019 137
